This case was written for the Ethics The Core Value of Leadership forum (2007) organized by the Hong Kong Independent Commission Against Corruption. The forum, which was attended by more than 200 directors of listed companies, aimed to educate directors of listed companies on ethical and corporate governance issues. On the eve of a friendly takeover, the Manfold case presents a multitude of ethical and corporate governance issues faced by (independent) directors, accountants, company secretaries and management.
